1. Agreement Overview

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between Kalibri LLC, a Pennsylvania limited liability company with its principal place of business at 1324 Locust St Apt 1530, Philadelphia, PA 19107, EIN: 33-4164024 ("Kalibri," "we," "us," or "our"), and the authorized users of the Kalibri QuickBooks Integration Application ("Application" or "Software").

IMPORTANT: This Application is developed and operated exclusively for internal business use by Kalibri LLC. It is not available to the general public and is not distributed, sold, or licensed to any third parties.

By accessing, installing, or using the Application, you acknowledge that you are an authorized employee, contractor, or representative of Kalibri LLC and agree to be bound by the terms of this Agreement.

2. Application Purpose and Scope

2.1 Purpose

The Application is designed exclusively for Kalibri LLC's internal business operations and provides the following functionality:

  • Integration between QuickBooks Online and Kalibri's internal CRM system (Supabase database)
  • Synchronization of financial data including invoices, customers, transactions, and reports
  • Real-time monitoring of client payments and account status
  • Automated data updates between QuickBooks and internal systems
  • Internal financial reporting and analytics

2.2 Scope of Use

This Application is licensed exclusively for use by:

  • Authorized employees of Kalibri LLC
  • Authorized contractors working on behalf of Kalibri LLC
  • Authorized representatives with explicit permission from Kalibri management

2.3 Restrictions

The Application:

  • Is NOT available for public download or use
  • Is NOT distributed, sold, or licensed to third parties
  • Is NOT intended for use by clients or external parties
  • May ONLY be accessed by authorized Kalibri personnel

3. License Grant

3.1 Internal Use License

Kalibri LLC grants authorized users a non-exclusive, non-transferable, revocable license to access and use the Application solely for internal business operations of Kalibri LLC.

3.2 Permitted Uses

Authorized users may:

  • Access the Application through approved interfaces
  • View, retrieve, and synchronize QuickBooks data with Kalibri's internal CRM
  • Generate internal reports and analytics
  • Monitor client payment status and financial transactions
  • Perform data updates as necessary for business operations

3.3 Prohibited Uses

Users shall NOT:

  • Share access credentials with unauthorized individuals
  • Use the Application for any purpose other than Kalibri's internal business operations
  • Attempt to reverse engineer, decompile, or disassemble the Application
  • Copy, modify, or create derivative works of the Application
  • Remove, alter, or obscure any proprietary notices
  • Use the Application in any manner that violates applicable laws or regulations
  • Share or distribute QuickBooks data accessed through the Application to unauthorized parties
  • Use the Application to access QuickBooks accounts other than those owned by Kalibri LLC

4. Data Access and Usage

4.1 QuickBooks Data Access

The Application accesses the following types of data from QuickBooks Online:

  • Customer information and contact details
  • Invoices and billing records
  • Transactions and payment history
  • Financial reports and account balances
  • Sales receipts and estimates
  • Other financial data necessary for internal business operations

4.2 Data Storage and Retention

  • • QuickBooks data accessed through the Application is stored in Kalibri's internal database (Supabase)
  • • Data is retained for a period of five (5) years from the date of initial collection
  • • Data is stored securely using industry-standard encryption and security measures
  • • Access to stored data is restricted to authorized Kalibri personnel only

4.3 Data Synchronization

  • The Application performs real-time synchronization between QuickBooks and Kalibri's internal CRM
  • Data updates occur automatically when changes are detected in either system
  • Users may initiate manual synchronization when necessary
  • All synchronization activities are logged for audit purposes

4.4 Data Usage Limitations

QuickBooks data accessed through the Application:

  • Is used exclusively for Kalibri's internal business operations
  • Is NOT shared with third parties except as required by law
  • Is NOT used for marketing, analytics, or any purposes other than internal financial management
  • Is NOT sold, rented, or otherwise commercially exploited

5. Intellectual Property Rights

5.1 Ownership

Kalibri LLC retains all right, title, and interest in and to the Application, including all intellectual property rights. This includes but is not limited to:

  • Source code and object code
  • User interfaces and design elements
  • Algorithms and processing methods
  • Documentation and training materials
  • Trademarks and branding

5.2 QuickBooks Integration

This Application integrates with QuickBooks Online through official Intuit APIs. QuickBooks, QuickBooks Online, and related trademarks are the property of Intuit Inc. Kalibri LLC's use of QuickBooks APIs is governed by Intuit's Developer Terms of Service.

5.3 No Transfer of Rights

This Agreement does not transfer any ownership rights in the Application to users. Users receive only the limited license rights explicitly granted in Section 3.

6. Security and Confidentiality

6.1 Access Security

Users agree to:

  • • Maintain the confidentiality of their login credentials
  • • Use strong, unique passwords for Application access
  • • Enable two-factor authentication when available
  • • Immediately report any suspected unauthorized access
  • • Log out of the Application when not in use
  • • Not share access credentials with any other person

6.2 Data Confidentiality

Users acknowledge that all data accessed through the Application, including QuickBooks financial data, is confidential business information of Kalibri LLC and agree to:

  • • Maintain strict confidentiality of all accessed data
  • • Use the data only for authorized business purposes
  • • Not disclose data to any unauthorized parties
  • • Follow Kalibri's data security policies and procedures

6.3 Data Protection Measures

Kalibri implements the following security measures:

  • • Encrypted data transmission (TLS/SSL)
  • • Secure database storage with encryption at rest
  • • Regular security audits and updates
  • • Access controls and authentication mechanisms
  • • Activity logging and monitoring
  • • Backup and disaster recovery procedures

7. Compliance and Legal Obligations

7.1 Intuit Developer Terms

Kalibri's use of QuickBooks APIs and this Application complies with:

  • Intuit Developer Terms of Service
  • QuickBooks API Terms and Conditions
  • Intuit Privacy and Security Requirements
  • All applicable Intuit policies and guidelines

7.2 Regulatory Compliance

The Application is operated in compliance with:

  • Federal and state data protection laws
  • Financial data handling regulations
  • Industry security standards and best practices

7.3 User Responsibilities

Users are responsible for:

  • Using the Application in compliance with all applicable laws and regulations
  • Following Kalibri's internal policies and procedures
  • Protecting confidential information accessed through the Application
  • Reporting any compliance concerns or violations to management

8. Warranties and Disclaimers

8.1 Limited Warranty

Kalibri warrants that the Application will perform substantially in accordance with its intended purpose when used as directed.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 8.1, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

8.3 Data Accuracy

While Kalibri makes reasonable efforts to ensure data accuracy, users acknowledge that:

  • Data synchronization may occasionally experience delays or errors
  • QuickBooks data is subject to the accuracy of information entered in QuickBooks
  • Users should verify critical financial information independently
  • The Application should not be the sole source for financial decision-making

9. Limitation of Liability

9.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KALIBRI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

9.2 Exclusion of Damages

IN NO EVENT SHALL KALIBRI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or business information
  • Business interruption
  • Cost of substitute services
  • Any other commercial damages or losses

EVEN IF KALIBRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Basis of Bargain

The limitations in this Section 9 reflect the allocation of risk between the parties and form an essential basis of the bargain. These limitations will apply even if any limited remedy fails of its essential purpose.

10. Term and Termination

10.1 Term

This Agreement is effective as of the Effective Date and continues until terminated in accordance with this Section.

10.2 Termination by Kalibri

Kalibri may terminate or suspend a user's access to the Application at any time, with or without cause, including but not limited to:

  • Termination of the user's employment or engagement with Kalibri
  • Violation of this Agreement
  • Security concerns
  • Discontinuation of the Application

10.3 Termination for Cause

Either party may terminate this Agreement immediately if the other party materially breaches any provision and fails to cure such breach within ten (10) days of written notice.

10.4 Effect of Termination

Upon termination:

  • User's access to the Application will be immediately revoked
  • Users must cease all use of the Application
  • Confidentiality obligations continue indefinitely
  • Provisions intended to survive termination will remain in effect

10.5 Survival

The following sections survive termination: Sections 4.4 (Data Usage Limitations), 5 (Intellectual Property Rights), 6.2 (Data Confidentiality), 8 (Warranties and Disclaimers), 9 (Limitation of Liability), and 11 (General Provisions).

11. General Provisions

11.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings, and communications.

11.2 Amendments

Kalibri reserves the right to modify this Agreement at any time. Continued use of the Application after such modifications constitutes acceptance of the modified terms.

11.3 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

11.4 Jurisdiction and Venue

Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania.

11.5 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

11.6 Waiver

No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.

11.7 Assignment

Users may not assign or transfer any rights or obligations under this Agreement. Kalibri may assign this Agreement in connection with a merger, acquisition, or sale of assets.

11.8 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control.

11.9 Notices

All notices under this Agreement shall be in writing and sent to:

11.10 Relationship of Parties

This Agreement does not create any partnership, joint venture, employment, or agency relationship between the parties.

13. Acknowledgment

BY USING THE APPLICATION, YOU ACKNOWLEDGE THAT:

  • You have read and understood this Agreement
  • You are an authorized representative of Kalibri LLC
  • You agree to be bound by all terms and conditions
  • You will use the Application in accordance with this Agreement and all applicable laws
